General terms and conditions
1. Scope of validity
The following general terms and conditions apply to all orders placed by consumers and businesses in our online shop.
For businesses these terms and conditions also apply to future commercial relationships, without us needing to explicitly refer to them again. If a business applies contradictory or additional terms and conditions, their validity is hereby expressly rejected. They only form part of the contract when we have explicitly agreed to them.
2. Contract partners, conclusion of contract
The purchase contract is concluded with Apromedica Holding GmbH. By placing products in our online shop, we provide a binding offer for the conclusion of a contract for these items. You can first place our products in a shopping basket without any obligation. You can edit your entries at any time before sending your binding order by using the editing tool that is detailed during the ordering process. The contract comes into effect when you accept the offer for the goods in your shopping basket by clicking the order button. Immediately after sending the order you will receive a confirmation by email.
A binding contract can also come into effect beforehand in two ways:
- If you have chosen payment by credit card, the contract comes into effect from the time of the credit card being debited.
- If you have chosen payment by PayPal, the contract comes into effect from the time of your confirmation of the payment instruction on PayPal.
The languages available for concluding the contract are English and German. We will save the contract text and send you the order details and our general terms and conditions by email. 3. Delivery conditions
Apromedica Holding GmbH delivers worldwide and keeps to the delivery and import conditions of the relevant country to the best of its knowledge and belief.
Orders will generally be processed once they have been received. When processing an order the delivery time given to you serves as a guideline. We do our best to maintain this delivery time, however we cannot give any guarantees in this respect. Delivery within the EU generally takes place within a period of approximately 2 to 9 work days (depending on quantity and delivery area).
Every delivery of goods is insured to the actual value of the goods, unless agreed otherwise.
All additional fees for deliveries outside of the European Union, such as security charges, taxes or customs duties, are to be borne by the customer. All additional fees such as transfer fees are to be borne by the customer.
Packaging and shipping costs
In addition to the displayed product prices, packaging and shipping costs are payable. Shipping costs are charged according to weight, size, and city and country of destination.

Shipping costs can be changed at any time without prior announcement. A change like this is valid from the moment the contract published on this website is entered into.

Prices shown on the website www.excluse.eu are in euros and include current German value-added tax (VAT), unless otherwise displayed.
If you place an order in a currency that is not the euro, your account will still be debited in euros. Taking into account the applicable legal provisions, VAT will apply to all sales.
As per legal provisions, the mechanism for reversed liability for tax payment (reverse charge) can be applied, pending legal requirements, if the buyer of the goods is a person liable for VAT in a member state of the EU. In this case, the process is tax-free since the "reverse charge" rule is applied by the customer.
Apromedica Holding GmbH only accepts the following methods of payment: credit card (Visa, MasterCard), PayPal, bank transfer (advance payment), cash on delivery (only in Germany), invoice (for businesses), direct debit (SEPA direct debit procedure in Germany).
When paying by bank transfer, the order number and complete customer name, as entered during the order process, must be stated as the reference. A payment term of 5 working days from the date of the order applies for the customer. The order only counts as accepted once it is determined that payment has been received by us. If Apromedica Holding GmbH does not receive the appropriate amount within the given time, the order will be cancelled.
To provide the highest level of security for online payments, Apromedica Holding GmbH makes use of secure payment systems for e-commerce from first-class financial institutions. Consequently, confidential information for payment is encrypted (SSL) and transmitted directly to the appropriate financial institution.

6. Retention of title
Goods remain our property until complete payment has been made.

8. Concluding remarks
This contract and all legal relations between the parties are subject to the law of the Federal Republic of Germany and to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
Should individual provisions of this contract be or become invalid or contain any omissions, then the remaining provisions will remain unaffected by this. The place of jurisdiction is Dresden, Germany. Apromedica Holding GmbH is however entitled to bring action at other competent courts in case of disputes.
